1. Acceptance of Terms

By accessing or using the services provided by Entries Technologies Inc. ("Entries," "we," or "us") at tryentries.com, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Service Description

Entries provides a unified data warehouse and analytics platform that ingests data from third-party integrations (including ERPs, HRIS, and Payment Processors) to provide business insights, reconciliation suggestions, and anomaly detection.

3. Accuracy of Data and "Probabilistic" Results

Important Disclaimer:

• Nature of Service: Entries uses statistical modeling, artificial intelligence, and probabilistic algorithms to reconcile data and generate insights. While we strive for accuracy, we do not guarantee that these insights, matches, or SQL-generated queries are 100% accurate or error-free.

• User Responsibility: You are solely responsible for verifying the accuracy of any financial reports, tax data, or reconciliation matches generated by Entries before using them for accounting, tax filing, or business decision-making. Entries is not a substitute for a certified accountant or tax professional.

4. Data Ownership and License

• Your Data: You retain all ownership rights to the data you sync to Entries ("Customer Data").

• License to Us: You grant Entries a worldwide, non-exclusive, royalty-free license to use, host, store, and reproduce your Customer Data solely for the purpose of providing the Service to you.

• Aggregated Data: We may use anonymized, aggregated usage data (which does not identify you or your business) to improve our machine learning models and platform performance.

5. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Entries platform.

• Use the Service to build a competitive product.

• Share your API keys or login credentials with unauthorized third parties.

6. Limitation of Liability

To the fullest extent permitted by law, Entries Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:

• (a) Your access to or use of (or inability to access or use) the Service;

• (b) Any inaccuracies, errors, or omissions in the data provided by the Service or third-party integrations;

• (c) Unauthorized access to or alteration of your transmissions or data.

In no event shall our aggregate liability exceed the amount you paid Entries in the past twelve (12) months.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
